Heller, Special Directors of CST at the time of the Declaration, as "consultants" to Starkey (Trustee of both Author's Family Trust-A and Author's Family Trust-B), and as "Trust Protectors" BACKGROUND AND NOTES This 17 September 1987 "License Agreement" is not available. It is first referred to in an "Assignment and Assumption" of 29 November 1993 transferring all of the Estate's right, title, and interest in the License Agreement to CST, but there is no description of the instrument there. It is next referred to by Sherman D. Lenske in his 12 November 1995 Declaration, where he describes the License Agreement:
Of course the Executor is Norman F. Starkey, and we'll remind you that Sherman was Norman's counsel while Norm was Executor, so Sherman is the one who drafted the license document under the supervision of IRS's Meade Emory. Isn't Sherman modest. By its very title, this was merely a license agreement for the "copyrighted matereials," but it is certain that there was no transfer (assignment) of the copyrights themselves. |
